Dealing with all aspects of the incorporation process and helping the client from the very start of the business in Bulgaria- filings all necessary applications and documents, opening corporate bank accounts, applying for licenses if needed, registering for VAT purposes, etc.;
Structuring the relations between the shareholders, changes in the composition of the shareholders, including the withdrawal of a shareholder by providing a detailed advising and drafting shareholder arrangements, Articles of Association, resolutions etc.; Representing the foreign client in any shareholder disputes with local partners .
Legal advice and assistance in relation to winding up of legal entities, branches or representative offices.
We have also registered foundations and associations.
One of our aim is to make the client feel secure entering and operating on the local market by helping them in the process of contractual negotiation with their local partners by drafting, monitoring and advising on different type of contracts, their legal aspects, consequences in case of non – fulfillment.
We also advice on daily basis a number of companies, whose shareholders and/or management are outside Bulgaria. These services include both taking care of all aspects of the corporate life of the business and ensuring that the interests of the shareholder in the local entity are best protected.
